Terms of Service
These Terms of Service (“Terms”) govern access to and use of Host Homebase, the multi-tenant owner portal platform operated by Hashbang Ltd (“Hashbang,” “we,” “us,” or “our”), including this public website at homebase.host and Tenant-branded portal deployments powered by the platform.
By accessing or using Host Homebase, you agree to these Terms. If you use Host Homebase on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
1. The service
Host Homebase provides software that helps short-term rental management companies (“Tenants”) give their property owners and staff a portal for operational and financial information (such as reservations, payouts, licenses, and related workflows), typically populated by syncing data from systems the Tenant connects (for example, property-management and operations tools).
Features may change over time. We may add, modify, or discontinue functionality, including integrations, with or without notice, except where we have a separate written agreement with a Tenant that says otherwise.
2. Accounts and access
- Access is generally by invitation or provisioning by a Tenant or by us. There is no public self-serve signup for owner portals.
- You must provide accurate account information and keep credentials and sign-in links confidential. You are responsible for activity under your account.
- Notify us or your Tenant promptly if you believe your account has been compromised.
- We may suspend or terminate access if we reasonably believe these Terms have been violated, if required for security or legal reasons, or if the relevant Tenant relationship ends.
3. Tenant relationships
If you are an owner or staff user of a Tenant’s deployment, your business relationship for property management is with that Tenant, not with Hashbang, unless you have a separate contract with us. The Tenant controls who is invited, which properties you see, and much of the data imported from their systems. Disputes about management fees, payouts, or property operations should be directed to the Tenant.
If you are a Tenant, you are responsible for (a) lawful use of the platform in your business, (b) the accuracy of data you and your integrations supply, (c) obtaining any consents required to process owner and guest-related data in the platform, and (d) your own customer terms and privacy notices where they apply in addition to ours.
4. Acceptable use
You agree not to:
- Use Host Homebase for unlawful purposes or in violation of others’ rights.
- Attempt to gain unauthorized access to accounts, data, or systems.
- Probe, scan, or test the vulnerability of the service except with our prior written consent.
- Interfere with or disrupt the integrity or performance of the platform.
- Reverse engineer or attempt to extract source code except where applicable law prohibits that restriction.
- Upload malware or content that is illegal, infringing, or harmful.
- Misrepresent your identity or affiliation.
- Use the service to send spam or unsolicited promotional messages.
- Resell or provide the platform to third parties except as expressly allowed in a written Tenant agreement with us.
5. Data, privacy, and third-party services
Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference. You acknowledge that Host Homebase depends on third-party infrastructure and, when configured by a Tenant, third-party integrations. Those providers have their own terms and privacy practices. We are not responsible for third-party services we do not control.
Data displayed in the portal may originate from external systems. We do not warrant that synced data is complete, current, or free of errors introduced upstream. Financial figures in the product are tools for reporting and operations; they are not a substitute for your accountant, tax advisor, or bank records.
6. Intellectual property
Hashbang and its licensors own Host Homebase, including software, design, trademarks, and documentation. These Terms do not transfer ownership of any intellectual property. You receive a limited, non-exclusive, non-transferable right to access and use the service as provided, for so long as you are authorized.
You (or your Tenant, as applicable) retain rights in data you submit. You grant us a license to host, process, transmit, and display that data as needed to provide and improve the service and as otherwise described in the Privacy Policy.
7. SMS and communications
If you provide a phone number and consent to SMS, you agree to receive operational and authentication messages as described in the Privacy Policy. Message and data rates may apply. You can opt out by replying STOP. Email remains a core channel for account access and notices.
8. Disclaimers
HOST HOMEBASE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASHBANG DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA WILL BE SECURE AGAINST ALL THREATS OR LOSS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASHBANG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF HOST HOMEBASE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU (OR THE RELEVANT TENANT, IF YOU ARE AN END USER OF THAT TENANT) PAID US FOR HOST HOMEBASE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF NO SUCH FEES APPLY.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
10. Indemnity
You will defend, indemnify, and hold harmless Hashbang and its personnel from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the service, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by our willful misconduct.
11. Suspension and termination
You may stop using Host Homebase at any time. We or the relevant Tenant may suspend or terminate access as described above. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.
12. Changes to these Terms
We may update these Terms by posting a revised version at https://homebase.host/terms and updating the effective date. Material changes may also be communicated through the product or by email when appropriate. Continued use after changes become effective constitutes acceptance, except where applicable law requires a different process or a separate Tenant agreement controls.
13. Governing law and venue
These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-law principles. Subject to applicable law, exclusive venue for disputes lies in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction there.
14. Miscellaneous
These Terms, together with the Privacy Policy and any written agreement between Hashbang and a Tenant, are the entire agreement between you and us regarding Host Homebase (for end users of a Tenant, your agreement with the Tenant may impose additional terms). If there is a conflict between these Terms and a signed Tenant agreement with Hashbang, the signed agreement controls for that Tenant relationship. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. Notices to Hashbang may be sent to hello@homebase.host.
